These terms set practical rules for KhataDhari business services. A signed proposal, order form or service agreement may add to or replace parts of these terms for a subscribed service.
1. Acceptance of Terms
By accessing the KhataDhari website, creating or using an account, requesting or receiving services, or accepting an applicable proposal or order, you agree to these Terms of Service. If you act for a business, you confirm that you have authority to bind that business. If you do not agree, do not use the services.
Additional written terms may apply to a subscription, implementation, integration or support service. If those terms conflict with these Terms of Service, the more specific written terms govern for that service.
2. Description of Services
KhataDhari provides business software and related services that may include Retail ERP, POS and billing, product, inventory, purchase, supplier, customer and order management, reports, GST-related workflows, WhatsApp Ecommerce and associated onboarding or support. Available features depend on the selected plan, configuration, integrations and commercial agreement. A demo request is an enquiry and does not by itself create a subscription or service commitment.
3. Account and Business Responsibilities
You must provide accurate and current registration and business information, maintain appropriate account contacts, protect credentials and access devices, and promptly notify KhataDhari of suspected unauthorized access. You are responsible for activity performed by your authorized users and for assigning suitable roles and permissions.
4. Retailer Responsibility for Customer Data
Retailers determine what customer and business information they enter into KhataDhari and how they communicate with customers. Retailers are responsible for lawfully collecting, using and sharing that information, providing required notices, obtaining any required authority or consent, respecting opt-outs, and responding to customer requests that relate to retailer-controlled records.
5. WhatsApp / Meta Integration
WhatsApp functionality depends on Meta's and WhatsApp's Business Platform, services and approval processes. Retailers must comply with applicable WhatsApp Business, messaging and commerce terms and policies, including rules for customer consent, message templates, acceptable products and communications.
Meta or WhatsApp may change API availability, pricing, policies, technical requirements, templates, messaging limits or account eligibility. KhataDhari cannot guarantee uninterrupted availability or approval of a third-party account, template or message. KhataDhari is independent from Meta and WhatsApp and must not be represented as owned, certified or endorsed by them unless separately verified in writing.

6. Product, Pricing, Inventory and Order Accuracy
Retailers are responsible for the completeness and accuracy of their product descriptions, images, prices, taxes, inventory, availability, offers, customer information and order details. Retailers also remain responsible for accepting, fulfilling, delivering, refunding or cancelling orders, issuing correct invoices, providing customer service, and meeting applicable consumer, tax and business obligations.
7. Payments
Where payment, UPI or other financial options are enabled through a third-party provider, that provider's terms, fees, security requirements, settlement rules and privacy practices also apply. Unless expressly stated in the applicable service agreement, KhataDhari is not the bank, card network or payment service responsible for holding or settling customer funds.
8. Subscriptions and Fees
Plans, subscription periods, usage allowances, onboarding, support, taxes and fees are set out in the applicable proposal, order form or invoice and may change for future renewal periods or new purchases. You must pay valid amounts when due. Access to paid features may be limited or suspended for overdue amounts where permitted by the applicable agreement and law.
9. Acceptable Use
You must not use KhataDhari to:
- violate any law, regulation, court order or third-party platform policy;
- send unlawful spam, deceptive or unsolicited communications;
- commit fraud, impersonate others or handle prohibited products or services;
- infringe privacy, intellectual property or other rights;
- upload malware, harmful code or content designed to compromise systems;
- attempt unauthorized access, bypass security or probe vulnerabilities without written permission; or
- disrupt, overload, reverse engineer where prohibited, or misuse the service or its infrastructure.
10. Intellectual Property
KhataDhari and its licensors retain all rights in the software, website, interfaces, documentation, branding and related materials, excluding retailer-owned business data. Subject to payment and compliance with applicable terms, a retailer receives a limited, non-exclusive, non-transferable right to use subscribed services for its internal business operations during the applicable subscription period.
11. User Content and Business Data
As between the retailer and KhataDhari, the retailer retains ownership of the business and customer content it submits. The retailer grants KhataDhari and necessary service providers permission to host, copy, transmit, transform, back up and otherwise process that content only as reasonably needed to provide, secure, support and improve the requested services, comply with law and enforce applicable agreements.
The retailer confirms that it has the rights and authority needed for KhataDhari to process submitted content in this way.
12. Availability and Changes
KhataDhari may maintain, update, add, replace or discontinue features to improve security, reliability or service value, respond to law or third-party changes, or manage the product lifecycle. We aim to provide reliable service but do not promise that every feature will always be uninterrupted, error-free or available on every device, browser, integration or plan.
13. Suspension and Termination
KhataDhari may restrict, suspend or terminate access where reasonably necessary for a material terms or policy violation, non-payment where applicable, a security or fraud risk, unlawful use, legal requirement, harm to users or systems, or a Meta, WhatsApp or other integration restriction. Where practical and appropriate, we will provide notice and an opportunity to resolve the issue.
You may stop using the service or end a subscription in accordance with the applicable commercial terms. Provisions that by their nature should continue after termination will survive.
14. Disclaimer
To the extent permitted by applicable law, the services are provided on an "as available" basis. KhataDhari does not warrant that the service will meet every business requirement or that all data, calculations, taxes, reports, third-party responses or retailer-entered records will be error-free. Retailers should review important business, financial and tax outputs and obtain professional advice where needed. Nothing in these terms excludes rights or warranties that cannot lawfully be excluded.
15. Limitation of Liability
To the extent permitted by applicable law, KhataDhari will not be liable for indirect, incidental, special or consequential losses, loss of profits or revenue, loss of goodwill, or loss arising from inaccurate retailer data, unauthorized account use or independent third-party services. Any liability will be assessed under the applicable service agreement and law, taking account of the nature of the service and the parties' responsibilities. Nothing limits liability that cannot lawfully be limited.
16. Indemnity
To the extent permitted by law, a business using KhataDhari will be responsible for reasonable third-party claims, losses or costs arising from its unlawful content, products, customer communications, misuse of the service, or material breach of these terms, except to the extent caused by KhataDhari's own breach or wrongful conduct.
17. Third-Party Services
Integrations, links and third-party services are governed by their providers' terms and policies. KhataDhari is not responsible for independent third-party content, decisions, outages, pricing or changes, but will use reasonable efforts to operate supported integrations as described in the applicable service scope.
18. Governing Law
Applicable governing law and jurisdiction will be determined in accordance with the contracting entity and applicable law. Any signed proposal, order form or service agreement may identify additional dispute-resolution or jurisdiction terms.
19. Changes to These Terms
KhataDhari may update these terms to reflect changes in the services, law, security needs or third-party requirements. The updated version will be posted on this page with a revised effective or last-updated date. Where appropriate, material changes may also be communicated through the service or other business channels.
